Law new is a term used to describe an innovative approach to legal services delivery. The concept combines elements of existing legal services, business processes and multidisciplinary expertise (or “non-lawyers”) with an enhanced focus on client impact. Law firms can leverage this approach to deliver high-value, high-impact services to their clients while generating revenue and improving firm profitability.
This Article explains how law new is changing legal practice, and why it matters to clients. It examines how the new model can increase efficiency and effectiveness while providing greater value to clients, both in terms of quality and price. The Article also discusses how this shift is challenging the traditional definition of a lawyer, and how it can lead to increased competition in the legal marketplace.
Until recently, the Supreme Court’s non-retroactivity doctrine was one of the most widely held views in legal history. But that view has been weakened, and this Article offers an alternative framework. Judicial lawmaking is always subject to retroactivity, and the Court should limit its effects on existing cases.
The Supreme Court’s recent decisions interpreting the antitrust laws have significantly impacted corporate mergers, as well as the antitrust enforcement by federal courts. This Essay proposes a new approach to these interpretations that addresses both the substantive and procedural aspects of the antitrust laws. The approach offers a more holistic and integrated interpretation of these antitrust laws.
Freezeout transactions, in which a controlling shareholder buys out the minority shareholders, have become more common since the stock market crash of 2000 and the Sarbanes-Oxley Act of 2002. This Article argues that these transactions, which involve statutory mergers, should be treated as lawful mergers for purposes of the antitrust laws.
